Subscriber License Agreement

How you may use Sentia content, including the single exception that permits delivering an unmodified Research Brief to your own clients.

This Subscriber License Agreement ("License") governs your use of the content Sentia Research LLC ("Sentia") makes available through sentiaresearch.com and its services. It supplements, and is incorporated into, Sentia's Terms of Service. Capitalized terms not defined here have the meaning given in the Terms.

1. Definitions

"Content" means all research briefs, executive briefs, drift scores, narrative analysis, cited-figure tables, charts, data compilations, exported PDF documents, and any other material Sentia makes available through the Service.

"Research Brief" means an exported PDF document generated by the Service.

"Subscriber" means the individual or entity that accepted this License. If an entity, it includes the authorized individual users permitted by the subscription plan.

"Subscriber's Clients" means natural persons or entities to whom Subscriber provides bona fide investment advisory, wealth management, financial planning, or family-office services in the ordinary course of Subscriber's business.

2. Grant of License

Subject to your compliance with this License and the Terms, and to payment of applicable fees, Sentia grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Content solely for your own internal business or personal investment-research purposes, for the number of authorized users permitted by your plan, during your subscription term.

The Content is licensed, not sold. All rights not expressly granted are reserved by Sentia and its licensors.

3. Permitted Client Distribution

This Section is the sole and limited exception to the redistribution prohibitions in Section 4.

If you are a financial adviser, wealth manager, family office, or research professional, you may deliver an individual, unmodified Research Brief to your own Subscriber's Clients for those clients' personal, informational use, provided all of the following are satisfied:

  1. the Research Brief is delivered complete and unmodified, with all citations, disclosures, disclaimers, source tables, and Sentia branding intact;
  2. delivery is to a specific, identified client in the ordinary course of your services — not by public posting, mass distribution, newsletter, social media, website publication, or any general-circulation channel;
  3. you do not grant the recipient access to the Service, your credentials, or any account;
  4. you do not represent the Research Brief as your own original work, and you do not represent it as personalized advice from Sentia to that client;
  5. you charge no separate fee for the Research Brief itself and do not resell it;
  6. the recipient is not a competitor of Sentia and does not use it for a purpose prohibited by Section 4; and
  7. you remain fully responsible for the recipient's compliance with these conditions and for any advice you give in connection with it.

This exception applies only to exported Research Briefs. It does not permit distribution of any other Content, of screen captures, of platform access, or of data extracted from the Service.

4. Restrictions

Except as expressly permitted in Section 3, you will not, and will not permit any other person to:

(a) Redistribute. Distribute, publish, broadcast, syndicate, post publicly, resell, rent, lease, lend, sublicense, transfer, or otherwise make the Content available to any third party.

(b) Train AI systems. Use any Content or output to train, fine-tune, evaluate, benchmark, develop, or improve any machine-learning model, artificial-intelligence system, large language model, or automated analytical system, or provide it as input to any such system, whether your own or a third party's.

(c) Extract in bulk. Use any robot, spider, scraper, crawler, script, or other automated means to access, extract, copy, index, or store the Content, or to obtain Content in bulk, or circumvent any rate limit or technical restriction.

(d) Compete. Use the Content to create, train, market, or operate any product or service that competes with the Service, or to benchmark against a competing product.

(e) Reverse engineer. Reverse engineer, decompile, disassemble, or attempt to discover the drift-score methodology, models, prompts, validation logic, data pipeline, or source code.

(f) Alter or strip. Remove, obscure, alter, or fail to reproduce any citation, disclosure, disclaimer, copyright notice, attribution, or Sentia branding.

(g) Share access. Share, sell, or transfer account credentials, or permit use by anyone other than an authorized user under your plan, or exceed the authorized user count.

(h) Misrepresent. Present the Content as your own original work, as personalized investment advice from Sentia, or as a recommendation by Sentia that any security is suitable for any specific person.

(i) Misuse. Use the Content in violation of any law, regulation, or third-party right, including securities laws and third-party data licenses.

5. Third-Party Data

The Content incorporates data from third-party providers, including market data supplied by Financial Modeling Prep and public filing data from the SEC's EDGAR system. Third-party data remains the property of its providers and is sublicensed to you only as part of the Content and only for the uses permitted here. Additional restrictions imposed by data providers apply and may change; Sentia may modify or discontinue any data element to comply with provider requirements without liability.

6. Ownership

Sentia and its licensors retain all right, title, and interest in the Content, the Service, the software, the drift-score methodology, and all associated intellectual property.

Underlying public filing data from the SEC is not subject to copyright and Sentia claims no ownership of it. Sentia does claim ownership of its selection, coordination, arrangement, editorial judgment, analysis, presentation, methodology, trademarks, and software.

Nothing in this License transfers ownership of anything to you.

7. Users and Verification

Your plan specifies the number of authorized users. Each authorized user must have a separate account and unique credentials. Credential sharing is a material breach.

Sentia may monitor usage to verify compliance, including access patterns, concurrent sessions, and export volume. Where Sentia has a reasonable basis to believe this License has been breached, Sentia may, on reasonable notice, request records reasonably necessary to verify compliance, and you will cooperate. If a review reveals unauthorized users, you will pay the fees that would have applied to those users for the period of unauthorized use, without limiting Sentia's other remedies.

8. Enforcement and Remedies

Any breach of Sections 3, 4, or 7 is a material breach, and Sentia may suspend or terminate your access immediately and without notice or refund.

You acknowledge that breach of Section 4(a) (redistribution), 4(b) (AI training), 4(c) (bulk extraction), or 4(d) (competitive use) would cause irreparable harm for which monetary damages would be inadequate, and that Sentia is entitled to seek injunctive relief without posting bond, in addition to all other remedies.

9. Term and Effect of Termination

This License runs with your subscription and terminates automatically when your subscription ends or when Sentia terminates your access.

On termination you must immediately cease all use of the Content and delete or destroy all copies in your possession or control, except that (a) Research Briefs lawfully delivered to Subscriber's Clients under Section 3 before termination may be retained by those clients for their records, and (b) you may retain copies required by law or by your regulatory record-keeping obligations, which remain subject to Sections 4, 5, and 6 for as long as retained.

Sections 4, 5, 6, 8, 9, and 10 survive termination.

10. General

This License is governed by, and subject to, the Terms of Service, including its disclaimers of warranty, limitation of liability, indemnification, governing-law, venue, jury-waiver, and class-waiver provisions, all of which apply to this License as if set out here in full.

In the event of a direct conflict between this License and the Terms regarding the scope of permitted use of Content, this License controls.

Sentia may modify this License in accordance with Section 13 of the Terms.
